Effective date: April 27, 2026 These Terms of Service ("Terms") govern your access to and use of Replyca, a Telegram-first platform for creating and monetizing AI clones of creators and experts. Replyca is operated by Visaneer LLC ("Visaneer", "Replyca", "we", "us"). Eligibility You must be at least 18 years old to use Replyca. By using Replyca, you confirm that you are 18 or older and have legal capacity to enter into these Terms. 2. Service overview Replyca lets creators configure AI clones, connect Telegram bots, upload or connect content, define tone and behavior, sell access through packages or subscriptions, and receive payouts through supported payment channels. Replyca may include AI-generated responses, validation, moderation, search over creator content, payment features, Telegram integrations, and optional voice-related features. 3. Creator responsibility Creators are responsible for: - content, materials, prompts, settings, pricing, claims, and instructions they provide; - ensuring they have rights to upload, process, and commercialize their content; - ensuring their AI clone is not misleading, harmful, unlawful, or abusive; - reviewing and moderating sensitive or uncertain AI responses where appropriate; - complying with applicable laws, platform rules, advertising rules, consumer-protection rules, intellectual-property rules, and Telegram requirements; - taxes, payout account accuracy, and any obligations arising from creator revenue. Replyca provides platform tools. Replyca does not guarantee that an AI clone will be accurate, lawful, profitable, suitable for a specific purpose, or free from errors. 4. Subscriber and end-user responsibility Subscribers and end users understand that: - AI clone responses are generated by automated systems and may be inaccurate, incomplete, delayed, or inappropriate; - AI responses are not professional medical, legal, financial, tax, psychological, or safety advice; - users should not rely on AI responses as a substitute for professional advice or emergency assistance; - users are responsible for how they use AI responses. 5. Payments, subscriptions, and refunds Replyca may support one-time message packages, subscriptions, Telegram Stars, Stripe payments, and other supported payment methods. Subscriptions renew automatically unless cancelled before the next billing date through the available payment or platform controls. Cancelling a subscription stops future renewals but does not automatically refund prior charges. Refunds are available only during the first 24 hours after purchase if the purchased package or subscription has not been substantially used, or if there was a material service failure that prevented access. We may refuse refunds for used message credits, abusive refund behavior, policy violations, chargeback abuse, or payments that cannot be refunded through the relevant payment provider. To request a refund, email support@replyca.ai with the payment details and reason for the request. 6. Creator payouts and commission Creator payouts may be made through Stripe Connect, Telegram Stars, or other supported payout channels. Replyca charges a 15% platform commission unless a separate written agreement states otherwise. Payouts are generally processed within 30 days, subject to provider processing times, payout thresholds, fraud checks, chargebacks, refunds, sanctions screening, tax or compliance checks, and account verification. Replyca may withhold, delay, offset, or reverse payouts when necessary to handle refunds, chargebacks, suspected fraud, legal obligations, provider restrictions, or violations of these Terms. 7. Prohibited content and conduct You may not use Replyca to create, upload, sell, distribute, request, or promote: - illegal content or activity; - fraud, scams, phishing, impersonation, deceptive monetization, or manipulation; - hate, harassment, threats, extremism, or incitement to violence; - sexual content involving minors or any exploitation or abuse; - adult content where prohibited by law, platform rules, or payment providers; - medical, legal, financial, tax, or investment advice presented as professional advice without proper authorization and disclaimers; - self-harm instructions, weapons instructions, or instructions for evading law enforcement; - personal data you do not have the right to process; - copyrighted or third-party content without appropriate rights; - malware, scraping, spam, bot abuse, or attempts to overload, reverse engineer, or bypass Replyca systems; - content that violates Telegram rules, payment-provider rules, or applicable law. We may remove content, suspend bots, block payments, withhold payouts, restrict accounts, or terminate access if we believe these Terms or applicable rules are violated. 8. Intellectual property Creators retain ownership of content they provide, subject to the rights granted below. By uploading, submitting, connecting, or configuring content in Replyca, you grant Replyca a worldwide, non-exclusive, royalty-free license to host, store, process, transform, index, embed, analyze, display, transmit, and use that content as needed to provide, secure, improve, moderate, and support Replyca and related AI clone features. Replyca, its software, design, branding, workflows, and platform technology are owned by Visaneer LLC or its licensors. You may not copy, reverse engineer, resell, or misuse the platform except as allowed by these Terms. 9. AI output AI output may be incorrect, incomplete, offensive, delayed, or unsuitable. Replyca does not guarantee factual accuracy, revenue, conversion, engagement, availability, or legal compliance of AI output. Creators are responsible for reviewing and controlling how their AI clone is presented and used. Subscribers are responsible for independently evaluating AI responses. 10. Availability and changes We may modify, suspend, discontinue, rate-limit, or restrict any part of Replyca at any time. We may change pricing, features, models, providers, integrations, limits, or supported payment methods. We are not liable for downtime, provider outages, Telegram limitations, payment-provider issues, model behavior, or other events outside our reasonable control. 11. Privacy Our Privacy Policy explains how we handle personal data. By using Replyca, you also agree to the Privacy Policy. 12. Termination You may stop using Replyca at any time. We may suspend or terminate your access if you violate these Terms, create risk for Replyca or others, fail to pay, trigger provider restrictions, or use Replyca unlawfully or abusively. Termination does not remove payment obligations, refund/chargeback obligations, payout offsets, intellectual-property licenses needed for prior operation, or legal obligations that survive termination. 13. Disclaimers Replyca is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation. 14. Limitation of liability To the maximum extent permitted by law, Visaneer LLC and Replyca will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, model errors, payment-provider issues, Telegram restrictions, or creator/subscriber disputes. To the maximum extent permitted by law, our total liability for any claim related to Replyca is limited to the amount you paid to Replyca in the three months before the event giving rise to the claim, or USD 100 if you paid nothing. 15. Indemnity You agree to defend, indemnify, and hold harmless Visaneer LLC, Replyca, and their officers, contractors, service providers, and affiliates from claims, damages, liabilities, costs, and expenses arising from your content, AI clone, use of Replyca, violation of these Terms, violation of law, infringement of rights, payment disputes, or user disputes. 16. Governing law and disputes These Terms are governed by the laws of Cyprus, without regard to conflict-of-law rules. Before bringing a formal claim, you agree to contact support@replyca.ai and try to resolve the dispute informally. If a dispute cannot be resolved informally, it will be handled in the courts or dispute forum determined under applicable Cyprus law, unless mandatory consumer law provides otherwise. 17. Changes to these Terms We may update these Terms from time to time. If we make material changes, we will update the effective date and may provide notice through the website, bot, email, or other reasonable means.
